Job Description

We are looking for an experienced Company Secretary & Compliance Officer with proven expertise in SME IPO execution, Corporate Governance, Secretarial Practices, and Regulatory Compliance. The ideal candidate should have hands-on experience in managing an SME IPO from DRHP preparation through Listing, while ensuring complete compliance with Companies Act, SEBI Regulations, Stock Exchange requirements, and Secretarial Standards.

The role requires close coordination with Merchant Bankers, Legal Advisors, Auditors, Stock Exchanges, Depositories, Registrar & Transfer Agent (RTA), and Regulatory Authorities to ensure a successful IPO and seamless transition into a listed company.


Key Responsibilities

SME IPO Management

  • Lead and manage the complete SME IPO process from DRHP preparation to successful listing.
  • Coordinate with Merchant Bankers, Legal Advisors, Auditors, RTA, Depositories and Regulatory Authorities.
  • Ensure timely completion of due diligence, regulatory submissions and listing requirements.
  • Manage IPO documentation and regulatory approvals.

Secretarial & Corporate Governance

  • Organize and conduct Board Meetings, Committee Meetings and General Meetings.
  • Prepare agendas, notices, resolutions and minutes in compliance with Secretarial Standards.
  • Maintain statutory registers and corporate records.

Regulatory Compliance

  • Ensure compliance with the Companies Act, 2013 and applicable Rules.
  • Ensure adherence to SEBI Regulations, Stock Exchange requirements and Listing Obligations.
  • Manage ROC filings, annual filings and other statutory submissions.

Corporate Governance

  • Establish and strengthen corporate governance policies and compliance frameworks.
  • Ensure compliance with applicable Secretarial Standards and governance practices.

Stakeholder Management

  • Act as the primary liaison between the Company and:
    • Merchant Bankers
    • Legal Advisors
    • Statutory Auditors
    • Internal Auditors
    • Registrar & Transfer Agent (RTA)
    • Stock Exchanges
    • Depositories
    • ROC, SEBI and other Regulatory Authorities

Documentation & Reporting

  • Maintain statutory records and secretarial documentation.
  • Prepare compliance reports and Board presentations.
  • Ensure timely completion of statutory filings and disclosures.

Desired Candidate Profile

  • Qualified Company Secretary (ICSI Membership is mandatory).
  • 8–12 years of Secretarial and Compliance experience.
  • Minimum 3 years of experience in a Listed Company or SME IPO environment.
  • Hands-on experience in successfully managing at least one SME IPO from DRHP to Listing.
  • Strong knowledge of:
    • Companies Act, 2013
    • SEBI Regulations
    • Listing Regulations (LODR)
    • Secretarial Standards
    • Corporate Governance
  • Experience in Public Company Compliance.

Key Performance Indicators (KPIs)

  • Successful SME IPO listing within agreed timelines.
  • Zero regulatory non-compliances.
  • 100% statutory filings completed within due dates.
  • Effective coordination with Merchant Bankers, Legal Advisors and Regulators.
  • Successful completion of all due diligence observations.
  • Timely closure of Board and Committee action items.
  • Zero penalties from ROC, SEBI or Stock Exchange.
  • Smooth transition to listed company governance framework.
